M&A - Strategic

2/2/2015 Flight Support Group, Inc. acquired 80.1% stake in Harter Industries, Inc. The terms of the transaction were not disclosed. Harter Industries operates as a commercial and military aircraft component and accessories overhaul shop and engineering company and is based in Tempe, Arizona.

2/2/2015 First Watch Restaurants, Inc. agreed to acquire First Watch of Arizona, Inc. The terms of the transaction were not disclosed. First Watch Restaurants operates breakfast and lunch restaurants in approximately 130 locations. Jennings, Strouss & Salmon, P.L.C. served as legal advisor to one of the founders of First Watch of Arizona.

2/3/2015 Clean Harbors, Inc. (NYSE:CLH) via its subsidiary Safety-Kleen, Inc. entered into a definitive agreement to acquire Thermo Fluids Inc. from Nuverra Environmental Solutions, Inc. (NYSE:NES) for $85.0 million. Thermo Fluids provides environmental and oil recycling services in the United States and is based in Scottsdale, Arizona.  Nuverra is a provider of full-cycle environmental solutions to energy end-markets and is based in Scottsdale, Arizona. Squire Patton Boggs LLP served as legal advisor to Nuverra.

2/5/2015 Sunquest Information Systems, Inc. entered into a definitive agreement to acquire Data Innovations, LLC from Battery Ventures. In a related transaction, Sunquest Information Systems also agreed to acquire SoftWriters, Inc. The combined purchase price for both of the acquisitions is $450.0 million. Sunquest Information Systems develops, delivers, and supports diagnostic information technology and outreach solutions for healthcare providers and is based in Tucson, Arizona.

2/5/2015 Truck-Lite Co., LLC acquired Rigid Industries, Inc. The terms of the transaction were not disclosed. Rigid Industries manufactures and markets LED lighting solutions and is based in Mesa, Arizona.

2/10/2015 Go Daddy Software, Inc. acquired Nodejitsu Inc. The terms of the transaction were not disclosed. Go Daddy provides domain name registration services and is based in Scottsdale, Arizona.

2/11/2015 Tessenderlo Kerley, Inc. agreed to acquire Herbicide Assets of Norflurazon of Syngenta Crop Protection, LLC. The terms of the transaction were not disclosed. Tessenderlo Kerley produces and markets specialty chemical solutions in the United States and internationally and is based in Phoenix, Arizona.

2/12/2015 FrontRange Solutions USA Inc. has agreed to merge with Lumension Security, Inc., a portfolio company of Clearlake Capital Group, LLC. The merged companies will be known as HEAT Software. The terms of the transaction were not disclosed. Lumension Security develops, integrates, and delivers security software solutions that help businesses protect their vital information and manage risk across network and endpoint assets and is based in Scottsdale, Arizona.

2/17/2015 Arthur J Gallagher & Co. (NYSE:AJG) acquired Cohn Financial Group LLC. The terms of the transaction were not disclosed. Cohn Financial Group provides life insurance solutions for high net worth individuals and businesses and is based in Phoenix, Arizona.

2/17/2015 EDGE3 Technologies LLC acquired SensorBit Systems, Inc. The terms of the transaction were not disclosed. EDGE3 Technologies develops and provides web-based vision analytics software solutions and is based in Tempe, Arizona.

2/18/2015 Alliance Healthcare Services, Inc. (NasdaqGM:AIQ) acquired a 59% stake in The Pain Center of Arizona, PC for $29.9 million. The Pain Center of Arizona provides pain management services and medical treatments and is based in Glendale, Arizona.

M&A - Financial

2/26/2015 Strattam Capital, LLC along with the management of Trax Technologies, Inc. signed a definitive agreement to acquire majority stake in Trax Technologies, Inc. The terms of the transaction were not disclosed. Trax provides a logistics data refinery that serves both buyers and sellers of logistics services and is based in Scottsdale, Arizona.

Private Placements

2/3/2015 DisperSol Technologies, LLC announced that it has received over $10.0 million in funding led by new investor Research Corporation Technologies. Research Corporation Technologies is a venture capital firm specializing in startup and early-stage companies and is based in Tucson, Arizona.
