M&A - Strategic

2/2/2016 Chesapeake Research Review, Inc. acquired Compass IRB, LLC. The terms of the transaction were not disclosed. Compass IRB provides central institutional review board services for the healthcare industry and is based in Mesa.    

2/2/2016 Installed Building Products, Inc. (NYSE:IBP) acquired Marshall Insulation, LLC. The terms of the transaction were not disclosed. Marshall Insulation provides home insulation contracting services to residential and commercial clients and is based in Gilbert.    

2/9/2016 Magellan Health, Inc. (NasdaqGS:MGLN) agreed to acquire The Management Group, LLC. The terms of the transaction were not disclosed. Magellan Health is a healthcare management company based in Scottsdale.    

2/16/2016 State Bank Corp. (OTCPK:SBAZ) signed a definitive merger agreement to acquire Country Bank for $33.2 million. State Bank Corp. operates as the holding company for Mohave State Bank that offers various banking services to individuals, businesses, and professionals and is based in Lake Havasu City. Country Bank provides personal and business banking services and is headquartered in Prescott. Sheppard, Mullin, Richter & Hampton LLP is serving as legal advisor to State Bank Corp. Lindquist & Vennum, P.L.L.P. is serving as legal advisor to Country Bank.    

2/16/2016 Mobile Mini, Inc. (NasdaqGS:MINI) acquired the assets and operations of SwingLift USA, Inc. The terms of the transaction were not disclosed. Mobile Mini provides portable storage and specialty containment solutions and is based in Phoenix.

2/22/2016 Phoenix Children's Academy Inc. acquired Next Generation Children's Center Inc. The terms of the transaction were not disclosed. Phoenix Children's Academy provides childhood and private elementary education services and is based in Scottsdale.

2/25/2016 McKesson Specialty Health signed definitive agreements to acquire BioLogics, Inc. and Vantage Oncology, LLC for $1.2 billion.  McKesson Specialty Health distributes specialty drugs to physicians and other healthcare providers and is based in Scottsdale.                 

2/29/2016 Sharp Decisions, Inc. acquired CN-TEC, Inc. The terms of the transaction were not disclosed. CN-TEC provides staffing solutions for IT companies and businesses in the United States and is based in Tempe.    

2/29/2016 AE Materials Group, Inc. acquired TAG One, Inc. The terms of the transaction were not disclosed. TAG One, also known as The Aircraft Group, provides aircraft consulting services relative to the purchase, sale, or leasing of various types of commercial aircraft and is based in Phoenix.  

2/29/2016 VelocityEHS acquired Ergoweb, Inc. The terms of the transaction were not disclosed. Ergoweb provides cloud-based ergonomics assessment software and is based in Carefree.  

M&A - Financial

2/7/2016 The Vistria Group, LLC, Apollo Global Management, LLC (NYSE:APO), and Najafi Companies entered into an agreement to acquire Apollo Education Group, Inc. (NasdaqGS:APOL) for $1.1 billion in cash. Najafi Companies is a private equity firm based in Phoenix. Apollo Education Group provides private education services and is also based in Phoenix. O'Melveny & Myers LLP and Paul, Weiss, Rifkind, Wharton & Garrison LLP are serving as legal advisors to Najafi Companies. Sullivan & Cromwell LLP is serving as legal advisor to Apollo Education Group.  

2/23/2016 Digital Dental Lab, First Capital Partners, LLC, Spectrum Financial Services and Villhard Growth Partners acquired Dental Laboratory Milling Supplies LLC. The terms of the transaction were not disclosed. Dental Laboratory Milling Supplies, LLC manufactures and sells dental materials and products and is based in Scottsdale.  

Private Placements

2/1/2016 Flypsi, Inc. announced that it has received $5.8 million in its seed round of funding from Acorn Ventures, Inc., MAG Ventures, Morningside Ventures, and others. Flypsi offers online telecommunication services and is based in Tucson.    

2/18/2016 The Center for Orthopedic and Research Excellence, Inc., also known as The CORE Institute, announced that it raised $22.0 million in a round of funding. The CORE Institute provides musculoskeletal and neurological care services and is based in Phoenix.     

2/22/2016 Trusona, Inc. announced that it has received $8.0 million in its series A round of funding led by Kleiner Perkins Caufield & Byers and Tom Schlein. Trusona is a Scottsdale, Arizona-based developer of a category-defining identity and authentication device which helps ensure the identity of the person on the other side of the login.    

2/23/2016 DUFL, Inc. announced that it has received $5.0 million in a round of funding. DUFL develops and markets a mobile application for business travelers for baggage packing and shipping and is based in Tempe.  

2/29/2016 EZ Own Auto Source LLC announced that it has received a round of funding from new investor St. Cloud Capital LLC. The terms of the transaction were not disclosed. EZ Own Auto Source provides rent-to-own vehicle solutions to consumers and is based in Scottsdale.
