M&A - Strategic

11/1/2016 Solomon Systech Limited agreed to acquire certain Mobile Touch Business Assets from Microchip Technology Inc. (NasdaqGS:MCHP) for $23.0 million. Microchip Technology Inc.'s certain Mobile Touch Business Assets comprises semiconductor products, equipment and patents, and a license to intellectual property and patents related to Microchip's Mobile Touch product line. Microchip develops, manufactures, and sells semiconductor products for various embedded control applications and is based in Chandler. Wilson Sonsini Goodrich & Rosati served as legal advisor to Microchip.    

11/1/2016 Aya Healthcare, Inc. acquired HealthCare Select. The terms of the transaction were not disclosed. HealthCare Select provides contingent workforce solutions to manage, track, and report contingent labor spend primarily for the healthcare industry and is based in Gilbert.    

11/1/2016 AccountabilIT, LLC acquired the MITS&C division of Business & Decision, North America, Inc. The terms of the transaction were not disclosed. AccountabilIT provides ERP applications management and cloud IT services and is based in Scottsdale.    

11/6/2016 Insight Enterprises Inc. (NasdaqGS:NSIT) agreed to acquire Datalink Corporation (NasdaqGS:DTLK) for approximately $309.4 million. Insight provides information technology hardware, software, cloud, and service solutions for business, government, healthcare, and educational clients and is based in Tempe. Sullivan & Cromwell LLP served as legal advisor to Insight.    

11/7/2016 Bourns, Inc. acquired assets of Transtek Magnetics, Inc. The terms of the transaction were not disclosed. Transtek Magnetics manufactures and supplies magnetic components and is based in Tuscon.    

11/11/2016 Ventana Loan Services agreed to acquire certain assets of WinWater Home Mortgage LLC. The terms of the transaction were not disclosed. Ventana Loan Services provides residential mortgage loan products and services for borrowers to obtain home ownership in Arizona, Georgia, Indiana, Florida, and Texas and is based in Gilbert.    

11/14/2016 Avnet, Inc. (NYSE:AVT) acquired a majority interest in Hackster, Inc. The terms of the transaction were not disclosed. Avnet distributes electronic components, enterprise computer, networking and storage products and software, IT solutions and services, and embedded subsystems and is based in Phoenix.    

11/14/2016 Avella Specialty Pharmacy, Inc. acquired Oncology Plus, LLC. The terms of the transaction were not disclosed. Avella operates a chain of retail pharmacies that provide specialty medications to patients in the United States and is based in Phoenix.

11/15/2016 Mister Car Wash, Inc. acquired Miriam South Carwash. The terms of the transaction were not disclosed. Mister Car Wash provides car wash services and is based in Tucson.    

11/15/2016 Glacier Bancorp, Inc. (NasdaqGS:GBCI) agreed to acquire TFB Bancorp, Inc. (OTCPK:TBBN) for $63.6 million. TFB Bancorp operates as the banking holding company for The Foothills Bank that provides service community banking services in Arizona and is based in Yuma. Hogan Lovells US LLP is serving as legal advisor to TFB Bancorp.    

11/16/2016 TGen (the Translational Genomics Research Institute) has affiliated with The City of Hope, a Los Angeles-area hospital system. In that transaction, City of Hope became the sole parent of TGen and TGen will lead City of Hope's genomics and personalized medicine research initiatives. City of Hope is one of 47 National Cancer Institute designated comprehensive cancer centers in the US and is expected to assist TGen with its clinical trials and in funding genomics-related research. TGen will remain in Phoenix. Jennings Strouss & Salmon served as legal advisor to TGen.    

11/17/2016 Pegasus Laboratories, Inc. acquired the assets of Veterinary Products Laboratories, Inc. from Central Life Sciences. The terms of the transaction were not disclosed. Veterinary Products Laboratories manufactures animal healthcare products and is based in Phoenix.    

11/20/2016 Symantec Corporation (NasdaqGS:SYMC) agreed to acquire LifeLock, Inc. (NYSE:LOCK) for $2.5 billion. LifeLock provides identity theft protection services and consumer risk management services and is based in Tempe. Wilson Sonsini Goodrich & Rosati and Skadden, Arps, Slate, Meagher & Flom are serving as legal advisors to LifeLock.    

11/24/2016 iSign International, Inc. acquired all assets of GFS Technology Inc. The terms of the transaction were not disclosed. GFS Technology develops and delivers a security platform that enables enterprises to manage and control mobile devices based on their security policies and is based in Scottsdale.    

11/28/2016 Sun Orchard, Inc. acquired the assets of Blue Lake Citrus Products, LLC from The Seminole Tribe of Florida, Inc. and WM. G. Roe & Sons, Inc. The terms of the transaction were not disclosed. Sun Orchard produces and distributes fresh fruit juices to foodservice businesses in North America and is based in Tempe.  

11/29/2016 Global Medical REIT Inc. (NYSE:GMRE) agreed to acquire HealthSouth East Valley Rehabilitation Hospital, LLC for $22.4 million. HealthSouth operates an inpatient rehabilitation facility and is based in Mesa.  

M&A - Financial

11/01/2016 Liberta Partners acquired skytron energy GmbH from First Solar, Inc. (NasdaqGS:FSLR). The terms of the transaction were not disclosed. First Solar provides solar energy solutions in the United States and internationally and is based in Tempe.    

11/11/2016 Homewood Capital, LLC signed an asset purchase agreement to acquire NJOY, Inc. for $30.1 million. NJOY manufactures and distributes rechargeable and non-rechargeable electronic cigarette products for adult smokers and is based in Scottsdale. Gellert Scali Busenkell & Brown, LLC served as legal advisor to NJOY.  

11/16/2016 Oval Partners acquired ProCopy Office Solutions, Inc. The terms of the transaction were not disclosed. ProCopy offers document imaging products and solutions in Arizona and is based in Tempe.   Private Placements

11/11/2016 HercuTech Inc. has received $5.0 million in a round of funding from WindSail Capital Group, LLC. HercuTech manufactures and markets wall building systems to construct exterior insulated walls in residential and commercial construction worldwide and is based in Tempe.    

11/14/2016 8point3 Operating Company, LLC agreed to acquire a 34% interest in Desert Stateline Holdings, LLC from First Solar Asset Management, LLC for $329.5 million. First Solar Asset Management operates as a subsidiary of First Solar, Inc., a Tempe-based provider of solar energy solutions in the United States and internationally. Skadden, Arps, Slate, Meagher & Flom LLP served as legal advisor to FirstSolar.    

11/16/2016 Paradigm Diagnostics, Inc. announced that it will receive $7.0 million in its Series B round of funding led by Mesa Verde Venture Partners. Paradigm Diagnostics provides diagnostics and biomarker driven clinical trial services for cancer patients and is based in Phoenix.    

11/18/2016 Trax Technologies, Inc. announced that it will receive $12.0 million in a round of funding. As of November 28, 2016, the company has received $5.0 in its first tranche closing from two investors. Trax Technologies provides cloud-based supply chain technology solutions and is based in Scottsdale.  

11/28/2016 Fluidic, Inc. announced that it has received $20.0 million in a round of funding from new investor Asia Climate Partners. Fluidic provides energy storage cells and rechargeable zinc-air batteries and is based in Scottsdale.
