M&A - Strategic

12/1/2009 IKANO Communications, Inc. acquired Defender Technologies Group LLC. The financial terms of the deal were not disclosed. IKANO Communications, based in Salt Lake City, provides private-label, wholesale, and retail Internet services through IP-based solutions in the United States and Canada.

12/1/2009 Sonoco Products Co. (NYSE: SON) acquired the assets of EconoReel Corp. The financial terms of the transaction were not disclosed. EconoReel Corp., based in Logan, Utah, engages in the design, manufacture, and distribution of plastic and composite spools and reels to the wire and cable industry.

12/2/2009 Hospira Inc. (NYSE: HSP) acquired TheraDoc, Inc. The financial terms of the transaction were not disclosed. TheraDoc, based in Salt Lake City, Utah, operates as a clinical informatics company. Holand and Hart served as legal advisor to TheraDoc.

12/3/2009 Sterling Construction Co. Inc. (NasdaqGS: STRL) acquired an 80% stake in Ralph L. Wadsworth Construction for $64.7 million in cash. Ralph L. Wadsworth Construction Company constructs bridges, roadways/highways, mass transit, commercial buildings, and shoring/piling projects in the Intermountain West and is based in Draper, Utah. Kirton & McConkie, PC served as legal advisor to Ralph L. Wadsworth Construction. Andrews Kurth, LLP served as legal advisor to Sterling Construction Co.

12/17/2009 FLSmidth & Co. A/S (CPSE: FLS) acquired the assets of Summit Valley Equipment & Engineering, LLC. Summit Valley Equipment & Engineering, LLC designs and fabricates equipment and adsorption, desorption, recovery plant solutions to the mining industry in the United States and internationally and is based in West Bountiful, Utah.

12/18/2009 Myriad Pharmaceuticals, Inc. (NasdaqGM: MYRX) entered into a definitive agreement to acquire Javelin Pharmaceuticals, Inc. (AMEX: JAV) for approximately $110 million in stock. Salt Lake City-based Myriad Pharmaceuticals engages in discovering, developing, and commercializing novel small molecule drugs for the treatment of diseases with high unmet need, including cancer and HIV infection. Ropes & Gray LLP served as legal advisor to Javelin Pharmaceuticals. Glovsky and Popeo, P.C. served as legal advisor to Myriad Pharmaceuticals.

12/30/2009 Gartner Inc. (NYSE: IT) acquired Burton Group, Inc. for $56 million in cash. Burton Group, Inc. provides IT research, advisory, and consulting services to executives and technologists and is based in Midvale, Utah. Wilson Sonsini Goodrich & Rosati served as legal advisor to Gartner. Wiggin and Dana LLP served as legal advisor to Burton Group.

Private Placements

12/15/2009 The American Academy, LLC announced that it has raised $5.9 million in its series B round of funding led by Austin Ventures. Holand and Hart served as legal advisor to The American Academy.

12/21/2009 inContact, Inc. (NasdaqCM: SAAS) announced a private placement of $8.4 million with Kinderhook Partners, L.P. inContact, Inc. operates as a software as a service company in the United States and is based in Salt Lake City, Utah.

USSO Holding Company, LLC, the parent company of Major League Soccer Champion Real Salt Lake, sold a 49% interest in the company to Dell Loy Hansen, a Utah-based real estate developer. USSO Holding's properties include the Real Salt Lake MLS team, Rio Tinto Stadium in Sandy, Utah, the KALL-AM Salt Lake City radio station and other related businesses. Parr Brown Gee & Loveless served as legal advisor to USSO Holding in the transaction.
