M&A - Strategic

4/5/2010 Mark Kistein acquired Cahners In-Stat Group from Reed Business Information, Inc. in a management buyout for an undisclosed amount. Scottsdale-based Cahners In-Stat Group provides research, market analysis, and forecasts of communications services, infrastructure, end user devices, and semiconductors worldwide.



4/12/2010 Tessolve Services Pvt. Ltd. signed a definitive agreement to acquire Dynamic Test Solutions, Inc. The financial terms of the transaction were not disclosed. Following the acquisition, the combined companies will operate as Tessolve-DTS and will be headquartered in Bangalore, India with US operations based in Chandler, Arizona. Chandler-based Dynamic Test Solutions, Inc. provides semiconductor test solutions.



4/19/2010 Apollo Global, Inc. acquired Western International University, Inc. from Apollo Group, Inc. (NASDAQ: APOL). Apollo Global, Inc. is a joint venture between Apollo Group, Inc. and The Carlyle Group. Apollo Group, Inc., through its subsidiaries, University of Phoenix, College for Financial Planning, Insight Schools, Inc. and Institute for Professional Development, is a leading provider of higher education programs for working adults. Osborn Maledon served as legal advisor to Apollo Group, Inc.



4/27/2010 First Solar, Inc. (NasdaqGS: FSLR) entered into a definitive agreement to acquire NextLight Renewable Power, LLC from Energy Capital Partners and Energy Capital Partners I, L.P. for approximately $290 million in cash. First Solar, Inc. designs, manufactures, and sells solar electric power modules using a proprietary thin film semiconductor technology and is headquartered in Tempe, Arizona. Latham & Watkins LLP served as legal advisor for Energy Capital Partners. Orrick Herrington & Sutcliffe, L.L.P. acted as legal advisors for First Solar, Inc.



4/30/2010 Universal Protection Service, Inc. acquired ProGuard Security Services, Inc. The financial terms of the transaction were not disclosed. ProGuard, Inc. offers protection, response, and security services and is based in Phoenix.



Private Placements

4/12/2010 New Leaf Brands, Inc. (OTCBB: NLEF) announced a private placement for gross proceeds of $1 million on April 12, 2010. As of April 27, 2010, the company raised $375,000 from five investors. Scottsdale-based New Leaf Brands, Inc. develops, markets, and distributes functional ready-to-drink beverages, including teas and other functional drinks in the United States and internationally.



4/21/2010 Proteus Biomedical, Inc. announced that it has raised $25 million in its Series E round of funding. The round saw participation from investors ON Semiconductor Corp, Novartis Venture Funds, and Medtronic. Phoenix-based ON Semiconductor Corp, together with its subsidiaries, offers power, analog, digital signal processing, mixed signal, advanced logic, data management semiconductors, memory and standard semiconductor components, and integrated circuits.
