M&A - Strategic

6/22/2010 Videolocity International, Inc. (OTCPK: VCTY) acquired Tactician University from Tactician Group. The financial terms of the deal were not disclosed. Park City, Utah-based Videolocity develops, manufactures and markets digital entertainment systems.

6/30/2010 Pilot Travel Centers, LLC acquired a 50.0% stake in CFJ Properties from ConocoPhillips (NYSE: COP) for $626.0 million. Ogden, Utah-based CFJ Properties operates as a franchisor and operator of the Flying J Inc. network of interstate travel plazas.

Private Placements

6/2/2010 Biopath Holdings, Inc (OTCBB: BPTH) has entered into an equity purchase agreement with Lincoln Park Capital for gross proceeds of $7.0 million. Bio-Path Holdings, a biotechnology company, through its subsidiary, Bio-Path, Inc., develops liposomal drug delivery systems. Bio-Path is based in Ogden, Utah. Winstead PC will serve as the legal advisor to Bio-Path.

6/3/2010 Netuitive, Inc. announced that it has raised $9.8 million in an equity round of funding led by a returning investor MK Capital, Cross Creek Capital, and Rembrandt Venture Partners. Cross Creek is a Salt Lake City, Utah-based venture capital firm specializing in late stage investments. It seeks to invest in private companies that are expected to go public within three years. Dorsey & Whitney LLP served as legal advisor to Cross Creek.

6/8/2010 LYFE Communications, Inc. (OTCBB: LYFE) announced a private placement of common shares for gross proceeds of $15.2 million. LYFE operates as an application services provider of Internet protocol television (IPTV), Internet services, and voice over Internet protocol (VOIP) telephone services and is based in South Jordan, Utah.

6/14/2010 Allegiance, Inc. announced that it will raise $4.0 million in a round of funding. As of June 23, 2010, the company received $1.0 million from three investors. Allegiance provides enterprise feedback management solutions and is based in South Jordan, Utah.

6/21/2010 Mformation Technologies, Inc. announced it will raise gross proceeds of $10.0 million in a round of funding. Mformation received an undisclosed amount of funding from returning investor Cross Creek Capital, which purchased an equity stake interest in excess of 5% in the company. As of July 2, 2010, Mformation had raised gross proceeds of $5.8 million from 16 investors.
