M&A - Strategic

11/4/2009 ON Semiconductor Corp. (NasdaqGS: ONNN) acquired PulseCore Semiconductor, Inc. from August Capital and Shah Capital Partners for approximately $17 million in cash. Phoenix-based ON Semiconductor offers a variety of semiconductors, memory, and standard component devices worldwide.



11/4/2009 JDA Software Group Inc. (NasdaqGS: JDAS) signed a definitive agreement to acquire I2 Technologies, Inc. (NasdaqGS: ITWO) for approximately $530 million in cash and stock. Scottsdale-based JDA Software provides enterprise software solutions in the Americas, Europe, and the Asia Pacific. DLA Piper served as legal advisor to JDA Software. Munsch, Hardt Kopf & Harr served as legal advisor to I2 Technologies.



11/20/2009 Selex Sensors and Airborne Systems Inc. signed a definitive agreement to acquire Lasertel Inc. from Presstek Inc. for $10 million. Tuscon-based Lasertel designs and manufactures semiconductor lasers. White & Case served as Legal advisor to Presstek.



11/30/2009 Stryker Corp. (NYSE:SYK) entered into definitive agreement to acquire Ascent Healthcare Solutions, Inc. for approximately $530 million. Phoenix-based Ascent Healthcare Solutions provides medical device reprocessing, remanufacturing, and consultation services for hospitals and surgery centers in the United States.



9/08/2009 Haemonetics Corp. (NYSE: HAE) announced that it has agreed to acquire the biological collection and processing business unit from Engineering & Research Associates, Inc. for $12.5 million in cash. Tucson-based Engineering & Research Associates operates in two major business segments: Biological Collection and Processing and Medical Technologies Group under the trade name SEBRA. Snell and Wilmer LLP served as legal advisor to Engineering & Research Associates.



Private Placements

11/2/2009 IQzone, Inc. announced a capital raise of $6.6 million in equity to be drawn in two phases. IQzone offers telecommunication software solutions and is based in Scottsdale.


11/18/2009 Zounds, Inc. announced an equity private placement of $8.1 million. Mesa-based Zounds designs, engineers, manufactures, and markets hearing aids for people with hearing impairments.
