M&A - Strategic

9/2/2010 Environmental Materials, LLC acquired Canyon Stone and Installation, Inc. for an undisclosed amount. Based in St. George, Utah, Canyon Stone and Installation manufactures and installs architectural stones for customers in Utah, Idaho, Wyoming, Colorado, Nevada, and Arizona.


9/13/2010 William Demant Holding A/S (CPSE: WDH) entered into a definitive merger agreement to acquire Otix Global, Inc. (NasdaqGM: OTIX) for $49.7 million in cash from a group of sellers. Based in Salt Lake City, Utah, Otix Global designs, develops, manufactures, and markets digital hearing aids primarily to hearing impaired consumers. Holland & Hart LLP is serving as legal advisor to Otix Global. Freshfields Bruckhaus Deringer LLP is serving as legal advisor to William Demant Holdings.


9/21/2010 Amedica Corporation acquired U.S. Spinal Technologies, LLC for an undisclosed amount. Based in Salt Lake City, Utah, Amedica operates as a spinal and orthopedic implant and instrument company.


9/22/2010 Ancestry.com Inc. (NasdaqGS: ACOM) signed an agreement to acquire Footnote, Inc. from Canopy Group, Century Capital Management, LLC and other investors for $23.2 million in stock. Based in Lindon, Utah, Footnote provides historic documents and records for history buffs, genealogists, researchers, family historians, military historians, teachers, and institutions. Based in Provo, Utah, Ancestry.com operates as an online resource for family history for subscribers worldwide. Morrison & Foerster, LLP is serving as legal advisor to Ancestry.com.


Private Placements

9/1/2010 Falstaff, Inc. announced a private placement of common shares for gross proceeds of $5.0 million. As of September 15, 2010, the company has received $30,000 in the transaction from one investor. Based in St. George, Utah, Falstaff operates in the energy sector.


9/3/2010 Campus Book Rentals, Inc. announced that it will raise $8.0 million in its equity round of funding. As of 9/17/2010, the company has raised $3.1 million from three investors. Based in Ogden, Utah, Campus Book Rentals provides new and used text books for rental through its website to students in various college campuses in the United States.


9/3/2010 NetSteps, LLC announced that it has received funding from new investor Gemini Investors and NetSteps' CEO, Kevin Vitale. Based in Pleasant Grove, Utah, NetSteps develops and markets software solutions for direct sales companies.

9/15/2010 Conviva, Inc. announced that it has raised $15.0 million in funding in its Series C round from a group of investors, including Pelion Venture Partners. Based in Salt Lake City, Utah, Pelion is a venture capital firm specializing in investments in seed, early, and emerging companies.


9/27/2010 Orabrush, Inc. announced that it has raised an undisclosed amount of funding led by new investor 2x Consumer Products Growth Partners. Based in Springville, Utah, Orabrush manufactures and sells tongue cleaners for humans and pets.
