M&A – Strategic

10/10/2019  CHG Healthcare Services, Inc. acquired Modio Health, Inc. The terms of the transaction were not disclosed. CHG provides temporary physician staffing services and is based in Midvale. Latham & Watkins LLP served as legal advisor to CHG.

10/10/2019  Youngevity International, Inc. (NasdaqCM:YGYI) entered into a non-binding Letter of Intent to acquire certain assets of BeneYOU, LLC. The transaction closed on 11/4/2019. The terms of the transaction were not disclosed. BeneYOU manufactures and supplies nutritional and beauty products online and is based in Lindon.

10/15/2019  Workfront, Inc. acquired Atiim Inc. The terms of the transaction were not disclosed. Workfront develops cloud-based enterprise work management solutions that help marketing, IT, and other enterprise teams conquer the chaos of excessive email, redundant status meetings, and disconnected tools and is based in Lehi.

10/18/2019  SRS Distribution Inc., doing business as SRS Roofing Supply, acquired Roofers Supply, Inc. The terms of the transaction were not disclosed. Roofers Supply distributes roofing materials for commercial and residential contractors and homeowners and is based in Salt Lake City.

10/23/2019  Telarus Inc. agreed to acquire the operations division of Cynergy Telecom, LLC. The terms of the transaction were not disclosed. Telarus operates as a telecom master agent and patent holder of real-time carrier quotes and is based in Sandy.

10/29/2019  CircusTrix, LLC acquired 12 Sky Zone Parks in the United States. The terms of the transaction were not disclosed. CircusTrix owns, operates, and develops indoor recreational parks and is based in Provo.

10/31/2019  Mammoth Holdings, LLC acquired Wiggy Wash, LLC. The terms of the transaction were not disclosed. Wiggy Wash provides car wash services and is based in Spanish Fork.

Private Placements

10/7/2019  PURE Healthcare announced that it has received $40.0 million in a round of funding from Build Capital Partners and other investors. PURE Healthcare provides infusion and injection therapy for patients with rheumatoid arthritis, Crohn's disease, multiple sclerosis, and other chronic conditions and is based in Salt Lake City. Build Capital Partners is a principal investment firm based in Salt Lake City.

10/8/2019  Golf Compete Inc., doing business as foreUP, announced that it has received an equity round of funding from new investor Supreme Golf, Inc. foreUP designs and develops management system and marketing solutions for golf course, club, and/or pro shop managers and is based in Lindon.

10/9/2019  InterWest Paper Inc. announced that it has received a round of funding from Wheeler Financial. InterWest provides commodities recycling brokerage and recyclable collection services and is based in South Salt Lake.

10/10/2019  Omada Health, Inc. announced that it has received a round of funding from new investor Intermountain Ventures. Intermountain Ventures is the strategic investment arm of Intermountain Healthcare, Inc. which owns and operates hospitals and clinics and is based in Salt Lake City.

10/16/2019  The VOID, LLC announced that it has received an equity round of funding from new investors Unibail-Rodamco-Westfield (ENXTAM:URW) and Lupa Systems. The VOID builds and operates virtual entertainment centers that primarily focus on exploring immersive virtual worlds and dimensions with friends and family and is based in Lindon.

10/17/2019  Galileo Processing, Inc. announced that it has received $77.0 million in a round of funding led by new investor Accel with participation from new individual investor Ryan Smith. Galileo Processing provides advanced payment processing solutions and is based in Salt Lake City.

10/17/2019  Pendo.io, Inc. announced that it has received $100.0 million in funding from Sapphire Ventures LLC, Cross Creek Advisors and other investors. Cross Creek is a venture capital firm based in Salt Lake City.

10/22/2019  PeerNova, Inc. announced that it has received $31.0 million in in a round of funding led by Mosaik Partners LLC with participation from Intuitive Venture Partners, LLC and Medici Ventures, Inc. Medici is an accelerator and principal investment arm of Overstock.com, Inc. and is based in Salt Lake City.

10/24/2019  Weave Communications Inc. announced that it has received $70.0 million in a round of funding led by new investor Tiger Global Management LLC with participation from Pelion Venture Partners and other investors. Weave Communications offers long distance and local calling services, two-way text messaging services, and services that allow users to automatically send birthday and appointment reminders with the ability for their patients to text them back and is based in Lehi. Pelion is a venture capital firm based in Salt Lake City.

10/28/2019  PierianDx, Inc. announced that it has received $27.0 million in its Series B round of funding co-led by new investors ATW Partners LLC and SJF Ventureson with participation from ARUP Laboratories, Inc. and other investors. ARUP operates as a clinical and anatomic pathology reference laboratory and is based in Salt Lake City.

10/29/2019 SmartStop Self Storage REIT, Inc. announced that it has entered into a preferred stock purchase agreement for gross proceeds of $200.0 million. The transaction includes participation from Extra Space Storage LP. SmartStop is a self-managed REIT with a fully integrated operations team of approximately 350 self storage professionals focused on growing the SmartStop Self Storage brand and is based in Salt Lake City. Extra Space Storage manages, develops, sells, and rents self-storage facilities and is based in Salt Lake City. Nelson Mullins Riley & Scarborough LLP is serving as legal advisor to SmartStop. Latham & Watkins LLP is serving as legal advisor to Extra Space Storage.
