M&A – Strategic

11/1/2019  Sorenson Communications, Inc. acquired Hancock Jahn Lee and Puckett LLC, doing business as Communication Axess Ability Group (CAAG). The terms of the transaction were not disclosed. Sorenson Communications provides videophones and software to deaf and hard-of-hearing individuals who require Sorenson Video Relay Service (SVRS) to place and receive calls and is based in Salt Lake City.

11/4/2019  PrinterLogic, LLC acquired MaxxVault LLC. The terms of the transaction were not disclosed. MaxxVault will immediately be rebranded under the name Vasion as a result of the transaction. Vasion develops and offers software solutions for digital workflow automation, e-forms, content management, digital signature, and secure storage and is based in St. George. PrinterLogic designs and develops enterprise printer management solutions for server-less remote site printer deployments and is based in St. George.

11/4/2019  Executech Utah, Inc. acquired DSA Technologies, Inc., doing business as Delta Systems Associates. The terms of the transaction were not disclosed. Executech provides information technology (IT) consulting services and is based in South Jordan.

11/5/2019  Mountain Capital Partners, LLC acquired Brian Head Resort LLC. The terms of the transaction were not disclosed. Brian Head owns and operates a resort and is based in Brian Head.

11/6/2019  Ironwood Insights Group acquired Discovery Research Group of Utah, Inc. The terms of the transaction were not disclosed. Discovery Research provides primary market research through telephone interviewing and Web administered surveys in the United States and is based in Midvale.

11/7/2019  Digi International Inc. (NasdaqGS:DGII) agreed to acquire Opengear, Inc. for $155.0 million. Opengear designs, manufactures, and delivers remote infrastructure management solutions and is based in Sandy.

11/18/2019  Installed Building Products, Inc. (NYSE:IBP) acquired Premier Building Supply, LLC. The terms of the transaction were not disclosed. Premier Building supplies and installs building products and is based in American Fork.

11/20/2019  iOFFICE, Inc. acquired ManagerPlus LLC. The terms of the transaction were not disclosed. ManagerPlus develops software solutions for asset management, work order management, maintenance planning and scheduling, preventive maintenance, and inspection and is based in Sandy.

11/20/2019  Simplus acquired Clout Partners Ltd. The terms of the transaction were not disclosed. Clout has been renamed Simplus U.K., Ltd. as a result of the transaction. Simplus provides software as a service products and support services that streamline and simplify global enterprise work management processes and is based in Salt Lake City.

11/25/2019  CrossRoads Extremity Systems, LLC acquired several surgical technology assets from Surgical Frontiers LLC. The terms of the transaction were not disclosed. Surgical Frontiers develops advanced surgical technologies that are ready for clinical use and is based in Logan. Durham Jones & Pinegar served as legal advisor to Surgical Frontiers.

11/25/2019  Tab Bank Holdings, Inc. acquired BAM Capital Division of BAMfi, LLC for $46.0 million. Tab operates as a bank holding company for Transportation Alliance Bank, Inc. which provides financial services for businesses to the transportation industry and is based in Salt Lake City.

Private Placements

11/4/2019  Deserve, Inc. announced that it has received $50.0 million in an equity round of funding led by new investor The Goldman Sachs Group, Inc. (NYSE:GS) with participation from SLM Corporation (NasdaqGS:SLM), Pelion Venture Partners and other investors. Pelion Venture Partners is a venture capital firm based in Salt Lake City.

11/5/2019  Strategic Risk Associates, LLC announced that it has received funding from new investor Decathlon Capital Partners, LLC. Decathlon is a private equity firm based in Park City.

11/13/2019  SimpleCitizen announced that it has received $5.8 million in a round of funding led by returning investor Kickstart Seed Fund with participation from Pelion Venture Partners, Peterson Partners LP and other investors. SimpleCitizen develops digital immigration and visa solutions for customers and is based in Salt Lake City. Kickstart is a venture capital firm based in Cottonwood Heights. Pelion is a venture capital firm based in Salt Lake City. Peterson Partners is a private equity firm based in Salt Lake City.

11/14/2019  Impartner Software, Inc. announced that it has received $20.0 million in a round of funding from new investor Vector Capital. Impartner develops and provides SaaS-based partner relationship management (PRM) and marketing automation platform (MAP) solutions and is based in South Jordan.

11/20/2019  HandsFree Labs, Inc. announced that it has received a round of funding from NIKE, Inc. (NYSE:NKE). HandsFreeLabs manufactures hands-free footwear using F1 titanium arc technology under brands KIZIK and PILAR and is based in Vineyard.

11/20/2019  VitalSmarts, L.C. announced that it has received a round of funding from Maranon Capital, L.P. VitalSmarts provides corporate training and leadership development services and is based in Provo.

11/21/2019  Route App, Inc. announced that it has received a round of funding led by returning investor Peak Capital with participation from new investors Album VC and Pattern. Route develops an app for insuring products while purchasing online and is based in Lehi. Album VC, previously known as Peak Ventures LLP, is a venture capital firm based in Lehi. Pattern offers brand management and advertising services and is based in Lehi.
