M&A - Strategic
8/2/2021 AWP, Inc., dba Area Wide Protective, agreed to acquire Traffic Safety Divisions from Trafficade Service, Inc. In a related transaction, AWP will also acquire Statewide Safety Systems. The transaction excludes Trafficade’s trench shoring and asphalt paving and milling operations which will continue to operate under the newly formed Trench-Ade, LLC. The terms of the transactions were not disclosed. Trafficade is a traffic safety company that provides work zone services to municipalities, utilities, and contractors in the United States and is based in Phoenix.
8/3/2021 Kellermeyer Bergensons Services, LLC acquired Olympus Building Services, Inc. The terms of the transaction were not disclosed. Olympus provides janitorial services, maintenance, and operational support for large facilities and is based in Tempe.
8/3/2021 Seequent Limited acquired Imago Inc. The terms of the transaction were not disclosed. Imago designs and develops a cloud-based platform to provide capture and management of geoscientific imagery solutions and is based in Phoenix.
8/3/2021 GO Car Wash acquired Quick and Clean Car Wash. The terms of the transaction were not disclosed. GO offers car washing services in Kansas, Missouri, Nevada, and Texas and is based in Gilbert.
8/4/2021 Research Horizons, LLC, dba Phoenix Marketing International, acquired Communicus. The terms of the transaction were not disclosed. Communicus offers research-based advertising consultancy services and is based in Tucson.
8/9/2021 Ken Garff Automotive, LLC acquired Earnhardt Kia from Earnhardt Management Company. The terms of the transaction were not disclosed. Earnhart Kia, now known as Ken Garff Kia, is an automotive dealership based in Phoenix.
8/10/2021 Sun Auto Tire & Service, Inc. acquired McSpadden’s Tire & Automotive Inc. The terms of the transaction were not disclosed. Sun Auto provides automotive aftermarket repair services under the BRAKEmax and Tire Works brands and is based in Tucson.
8/11/2021 SunTree Snack Foods, LLC acquired Carolina Nut, Inc. The terms of the transaction were not disclosed. SunTree produces and markets snack food and is based in Phoenix.
8/11/2021 GO Car Wash acquired Rio Car Wash. The terms of the transaction were not disclosed. GO offers car washing services in Kansas, Missouri, Nevada, and Texas and is based in Gilbert.
8/16/2021 Diversified Solutions, Inc. acquired Agave Underground Utility, LLC. The terms of the transaction were not disclosed. Agave is an underground specialty contractor that provides underground fiber to premises and 5G wireline contracting services and is based in Avondale. Diversified Solutions operates as a telecommunications infrastructure service company that provides utility services to the telecommunication sector and is based in Phoenix.
8/17/2021 Integrity Marketing Group, LLC acquired Berwick Insurance Group, L.L.C. The terms of the transaction were not disclosed. Berwick operates as an independent marketing organization that engages in the sales and distribution of health, life, and Medicare products and is based in Tucson.
8/17/2021 Arizona Portables, Ltd. acquired Phoenix Roll Offs LLC. The terms of the transaction were not disclosed. Phoenix Roll Offs provides roll-off dumpster rental services and is based in Phoenix. Arizona Portables provides portable toilet and roll-off dumpster rental services and is based in Mesa.

8/19/2021 JBI Interiors, LLC acquired Western Millwork, Inc. The terms of the transaction were not disclosed. Western Millwork manufacturers custom architectural millwork and commercial interior elements and is based in Phoenix. Porter and Hedges, LLC served as legal advisor to Western Millwork.
8/20/2021 Carbon Health Medical Group, Inc. acquired nine Southern Arizona Urgent Care clinics and four Med7 Urgent Care clinics. Southern Arizona Urgent Care operates medical clinics and offers healthcare and diagnostic services and is based in Tucson.
8/23/2021 Paradox, Inc. acquired Woofound, Inc., trading as Traitify. The terms of the transaction were not disclosed. Paradox develops a conversational artificial intelligence-based platform that enables human resources and talent teams to automate administrative tasks and is based in Scottsdale.
8/24/2021 Reading Truck Group, LLC agreed to acquire Auto Safety House, LLC from The W.W. Williams Company. The terms of the transaction were not disclosed. Auto Safety House retails fleet solutions to municipalities, schools, contractors, public utilities, and private fleets in the United States and is based in Phoenix. Benesch, Friedlander, Coplan & Aronoff LLP is serving as legal advisor to Auto Safety House.
8/24/2021 National Auto Care acquired five agencies - Profit Concepts, Pinnacle Dealer Services, Pritchard Insurance, RRC Companies, and Ace Financial Development Group. The terms of the transactions were not disclosed. Pinnacle provides finance and insurance products to automotive, RV, powersports, and marine transactioners and is based in Oro Valley.
8/25/2021 Axon Enterprise, Inc. (NasdaqGS:AXON) acquired My90, Inc. The terms of the transaction were not disclosed. Axon develops, manufactures, and sells conducted energy weapons under the TASER brand and is based in Scottsdale.
8/25/2021 Semiconductor Components Industries, LLC, dba onsemi (Nasdaq:ON), agreed to acquire GT Advanced Technologies Inc. (OTCPK:GTAT) for $415.0 million. onsemi designs, manufactures, and sells semiconductor components for electronic systems and products and is based in Phoenix. Morrison & Foerster LLP is serving as legal advisor to onsemi.
8/31/2021 Pueblo Mechanical & Controls, LLC acquired Central Air & Heating Service, Inc. The terms of the transaction were not disclosed. Pueblo provides HVAC and installation services for school districts, governmental agencies, municipalities, and private firms and is based in Tucson.

8/3/2021 Phantom Space Corporation announced that it will receive $35.0 million in funding. As of August 18, 2021, the company has received $7.2 million in its first tranche from 22 investors. Phantom manufactures space transportation systems, such as launch vehicles, satellites, and space propulsion systems and is based in Tucson.
8/4/2021 Connections Health Solutions, LLC announced that it has received $30.0 million in a round of funding led by new investor Heritage Group, LLC. Connections provides emergent behavioral health services and is based in Phoenix.
8/10/2021 Myndshft Technologies, Inc. announced that it has received a round of funding from new investor HCAP Partners. Myndshift offers a pharmacy platform and is based in Mesa.
8/18/2021 GEOST, LLC announced that it has received a round of funding from new investor ATL Partners. GEOST designs and integrates small-to-medium sized electro-optical infrared sensors for national security space missions and is based in Tucson. Williams Mullen served as legal advisor to GEOST.
8/20/2021 Palisade Bio, Inc. announced that it has received $5.2 million in funding from Yuma Regional Medical Center, a not-for-profit hospital that provides medical care to the residents of Yuma and the surrounding communities.
8/25/2021 InShare Services, Inc. announced that it has received $7.5 million in an equity round of funding from new investors ManchesterStory Group, LLC, The Hive, and Avanta Ventures, LLC. InShare provides risk management solutions in the sharing economy, including logistics companies, and is based in Scottsdale.
